Hamilton Barnes General Policy
Hamilton Barnes Associates Limited ("Hamilton Barnes") is committed to upholding the highest standards of professionalism and transparency in its recruitment services. This General Policy (the "Policy") governs the treatment of CVs and other confidential information (collectively, the "Information") disclosed by Hamilton Barnes to Clients (each a "Client") and is supplementary to the contractual Terms of Business agreed between the parties (the "Terms"). In the event of any inconsistency, the Terms shall prevail.
1. Ownership of Information
All Information provided by Hamilton Barnes to the Client shall remain the exclusive property of Hamilton Barnes. For the avoidance of doubt, such Information includes, but is not limited to, candidate CVs, employment history, qualifications, and any other related documentation or data.
The Client acknowledges that the provision of Information is conditional upon compliance with the obligations set forth in this Policy and the Terms.
2. Confidentiality Obligations
The Client hereby undertakes to maintain the confidentiality of all Information received from Hamilton Barnes. The Information is provided solely for the purpose of assessing candidates for potential engagement or employment within the Client’s organisation.
The Client shall not disclose, disseminate, or otherwise make the Information available to any third party without the prior written consent of Hamilton Barnes, save where such disclosure is required by law.
3. Liability for Fees
The Client acknowledges and agrees that:
- The introduction of a candidate by Hamilton Barnes, whether directly or indirectly, shall render the Client liable for payment of the fees specified in the Terms, regardless of the manner or timing of the candidate’s engagement.
- Such fees shall apply irrespective of whether the candidate is engaged by the Client directly, through a subsidiary, affiliate, or third party, or on any other basis.
4. Remedies for Breach
In the event of a breach of this Policy by the Client, Hamilton Barnes reserves the right to pursue any and all remedies available under the Terms, applicable law, or equity. This includes, without limitation, recovery of fees, damages, and injunctive relief to prevent unauthorised use or disclosure of the Information.
5. Precedence of Terms
This Policy shall be read in conjunction with the Terms. In the event of any conflict or inconsistency between this Policy and the Terms, the Terms shall take precedence and be binding upon the parties.
6. Acknowledgement and Acceptance
By accepting any Information from Hamilton Barnes, the Client acknowledges and agrees to be bound by this Policy.
